Matt XUE is a partner at Merits & Tree. His main practice areas include PE/VC, M&A, dispute resolution and regulatory and compliance. He has represented investment institutions in investments across various industries, and assisted companies in various industries with financing and M&A transactions. He also serves as outside legal counsel for many multinational enterprises, private enterprises, and state-owned enterprises, providing legal services in respect of investment, financing, M&A, corporate governance, equity incentives, structural reorganization, company establishment and liquidation. He has served clients spanning technology, consumer goods, semiconductors, energy, chemicals, real estate, advanced manufacturing, biomedicine, medical devices, and culture & entertainment industries. He not only possesses extensive experience in PE/VC and M&A but also has handled many litigation and arbitration cases, enabling him to deliver end-to-end legal services for clients—spanning from transaction structuring and execution to dispute prevention and resolution.

 

Prior to joining M&T, Matt XUE was an attorney at a well-known law firm in Shanghai.

  • Represented NIO Energy Investment (Hubei) Co., Ltd. in its financing from Wuhan Guangchuang Fund;
  • Represented SDIC Fund in its investment in Huatai Electronics;
  • Represented Turing Capital in its investment in Maitu Information Technology;
  • Represented V Fund in its investment in Shuxin Information Technology;
  • Representated AutoCool Intelligent Technology in its financing from Hillhouse Capital, Foxconn, and Sunflower;
  • Represented JINGMING JAMES WANG in the equity transfer of Changzhou Ruomu Biochemical Laboratory Ware Co., Ltd. to Singapore-based VWR INTERNATIONAL HOLDINGS;
  • Represented TechMet (a U.S.-based company) in its acquisition of equity in Jinlu Hard Alloy (Thailand) Co., Ltd. from Xiamen Golden Egret Special Alloy Co., Ltd.;
  • Represented China National Seed Group Co., Ltd. in the equity transfer of Huazhi Biotechnology Co., Ltd. to Yuelushan Seed Industry Innovation Center Co., Ltd.;
  • Represented Seazen Holdings (SH601155) in its acquisition of equities in multiple real estate enterprises.
Dispute Resolution
  • Represented Qingdao Yuehong Equity Investment Partnership (Limited Partnership) and Shanghai Yangrong Industrial Development Co., Ltd. in investment contract disputes and creditor’s subrogation disputes;
  • Represented Seazen Holdings in trademark infringement and unfair competition disputes;
  • Represented Steelco Company in trademark infringement, unfair competition, and labor disputes;
  • Represented Univar Company in sales contract disputes and commercial lease disputes;
  • Represented Belimed Company in sales contract disputes and commercial lease disputes;
  • Represented ECA Company in equity repurchase disputes;
  • Represented Haoju Technology in real estate agency contract disputes;
  • Represented Formlabs Inc. in distribution contract disputes;

Regulation and Compliance
  • Provided daily operational compliance consulting services for foreign-invested enterprises including The St. Regis Shanghai on the Bund, Dover, Telus International, SWEP, Alorica, Convergys, Univar, Splio, Carbody, Steelco, Veolia, The Pottery Workshop, Formlabs, Flamaway, Oerlikon, Cimpress, Trasmec, Streamer, Ecolab, Kraton, Vyncke, and Rongte;
  • Provided daily operational compliance consulting services for state-owned and private enterprises including Syngenta, Atomic, ECA, Chenhai Interactive, Kuizhi, Sukefu, and Lianfang Yuntian;
  • Advised Syngenta Group on the establishment of a new manufacturing base in East China and the overall relocation of plant facilities;
  • Provided full-cycle legal services for Germany’s Schmitz Cargobull and its Chinese partner in negotiating and concluding full-trailer OEM manufacturing and strategic cooperation agreements;
  • Advised a domestic sports and cultural industry operator and Arsenal Football Club (UK) on brand licensing agreement negotiations, as well as the establishment and operation of Arsenal-themed restaurants;
  • Provided legal services for enterprise liquidation, deregistration, and staff layoff for multiple clients;
  • Represented the Chinese subsidiary of a global leading electrical switch, socket and smart home products manufacturer in responding to an illegal advertising investigation by the competent authority;
  • Represented the Chinese subsidiary of a global leading customized products enterprise in responding to an illegal advertising investigation by the competent authority;
  • Represented the Chinese subsidiary of a renowned European dairy and nutrition product manufacturer in responding to an illegal product packaging and labeling investigation by the competent authority;
  • Assisted several global top-tier business process outsourcing (BPO) providers in applying for value-added telecommunications business licenses for their operations in China.
